“Event”)
TICKETING TERMS FOR EVENT
TICKETHOLDER AGREEMENT, ASSUMPTION OF RISK, AND
RELEASE
PLEASE READ CAREFULLY. THESE TERMS CONTAIN PROVISIONS THAT IMPACT
YOUR LEGAL RIGHTS.
EVENT AND VENUE. Pro-Football LLC d/b/a
Washington Commanders (the “Team”) is the host
of the Event at The Ritz Carlton, Grand Canal Abu Dhabi (including,
without limitation, parking areas and all areas used to access the
Event, the “Venue”). The Event consists of the
following: (i) a “watch party” featuring the live television broadcast
of the National Football League (“NFL”) regular
season game between the Washington Commanders and the Indianapolis Colts
being played in London, United Kingdom on Sunday, October 4, 2026, (ii)
participation opportunities for interactive activities, contests, skills
competitions, simulated combine drills, and other athletic tests
associated with the sport of football (collectively, the
“Interactive Elements”), (iii) other event
elements including, without limitation, face painting, photo booth, and
(iv) such other Event elements and activities as determined by the Team
and its representatives, in their sole discretion. The Event date and
time and all elements thereof are subject to change at the Team’s sole
discretion for any reason (which may include cancellation or suspension
of all or some of the Event by Team).
TICKET. Tickets to the Event (each a
“Ticket”) are revocable licenses that grant
entry to the Event. The bearer of this Ticket to the Event, and any
individual seeking entry to the Event through the use of a Ticket,
including minors and all other attendees accompanying any Ticket bearer
(on whose behalf the bearer represents they are authorized to act for
purposes of agreeing to these terms) (each of the foregoing hereinafter
a “Holder”), agree that (i) such license is
subject to these terms (“Terms”) and (ii) by
acceptance and/or use of such license, and/or entering or seeking entry
into the Venue, each Holder is deemed to have read and understood the
Terms, and agreed to be bound by them including the Release (defined
below). Failure to comply with the Terms shall result in forfeiture of
the license and all rights arising under it and entitle the Team, the
NFL, and/or, if applicable, the Venue (individually or collectively,
“Management”) to pursue all legal remedies
available. Admission to the Event may be refused or revoked, and Holder
may be ejected in Management’s sole discretion.
EVENT POLICIES. Holder shall comply with all
Event policies including without limitation policies addressing
security, attendee conduct, health and safety, bags, and/or parking.
Holder, Holder’s vehicle, and Holder’s belongings may be searched or
assessed prior to or upon entry to the Venue or any time thereafter. No
weapons or other dangerous items are allowed at the Event. Prohibited
items may be confiscated and Holder’s admission may be denied or revoked
at Management’s sole discretion. Holder consents to such searches and
assessments and waives all related claims. If Holder does not consent,
Holder acknowledges Management has the right to deny or revoke Holder’s
admission to the Event. Management reserves the right to deny or revoke
the admission of any person who it determines, in its sole discretion,
poses a risk to the health, safety, or enjoyment of other attendees or
whose conduct violates these Terms, any Event or Venue policies or is
otherwise disorderly (or complicit therein). Unauthorized entry into
restricted areas of the Event, interfering with the progress of any
element of the Event, and/or any other disorderly conduct deemed
dangerous, inappropriate, or in violation of Event policies and/or Venue
rules and regulations or any other relevant security policies is
strictly prohibited. Violators will be removed from the Venue and are
subject to arrest, prosecution, and other penalties. Violators also may
be subject to civil penalties and/or fines, as well as financial
liability for any damages, costs, or injuries incurred as a result of
such unauthorized entry or interference in accordance with applicable
law. Such conduct constitutes a serious breach of the Team’s and the
Venue’s safety and security protocols, and violators assume any and all
risks associated therewith, including the risk of personal injury
(including death), and the risk of loss or damage to personal
property.
ASSUMPTION OF RISK. Holder knowingly and
voluntarily assumes all risks, hazards, and dangers incident to the
Event and related events, including the risk of damage or injury to
personal property and the risk of personal injury (including death),
exposure to communicable diseases, viruses, bacteria, or illnesses
(including, e.g., COVID-19) or the causes thereof, or lost,
stolen, or damaged property, whether occurring before, during, or after
the Event, however caused, and hereby waives all claims and potential
claims relating to such risks, hazards, and dangers. Without limiting
the foregoing, on behalf of Holder and Related Persons (defined below),
Holder acknowledges and agrees that (i) Holder’s participation in any
Interactive Element(s) is purely voluntary, optional, and solely for
entertainment purposes, (ii) Holder shall comply with all rules and
regulations of each Interactive Element(s) as well as any participation
instructions provided by Management, (iii) Management specifically
disclaims any representations or warranties regarding any equipment
provided in connection with any Interactive Element(s), including the
fit or effectiveness thereof, (iv) Holder’s participation in any
Interactive Element(s) includes inherent risks and dangers (direct or
indirect) associated with such participation, including the potential
for serious injury, permanent disability, and death (irrespective of any
particular skills of Holder or any equipment used by Holder (whether
such equipment is provided by Management or otherwise)), and (v) Holder
represents and warrants that Holder is physically fit and able to
participate in the Interactive Elements and nothing in Holder’s fitness
and/or condition make such participation inadvisable for the health and
safety of Holder and/or other participants.
RELEASE, WAIVER, & COVENANT NOT TO SUE.
To the fullest extent permitted under applicable law, on behalf of
Holder and Related Persons, Holder knowingly and voluntarily releases,
discharges, holds harmless, covenants not to sue, and indemnifies
(collectively, the “Release”) each of the
Released Parties (defined below) from and against any and all
liabilities, losses (economic and non-economic), damages, costs,
expenses (including, but not limited to, attorneys’ fees and expenses),
causes of action, suits, demands, and claims of any nature whatsoever
(collectively, the “Liabilities”) that Holder or
any Related Persons may now have or that hereafter accrue, whether known
or unknown, against any of the Released Parties, that relate to any of
the risks, hazards, and dangers described herein or resulting from
anything which has happened up to now, including without limitation any
and all Liabilities that arise out of or relate in any way to Holder’s
or any Related Persons’ (i) entry into, or presence within or around,
the Event (including all risks related thereto, including those
associated with participation in any Interactive Element(s) and/or any
acts or omissions of other Event participants) or compliance with any
rules, regulations, or protocols applicable to the Event; (ii) all risks
related to Holder’s or any Related Persons’ personal property; (3)
interaction with any personnel of any of the Released Parties at the
Event; (iv) exposure to COVID-19 or any other contagion or disease, (v)
use of and/or condition of the Venue, (vi) emergency medical services
(if any) received by Holder in connection with the Event, (vii) Holder’s
travel to and from the Event, or (8) any other element or occurrence
related to the Event, in each case whether caused by any action,
inaction, or negligence of any Released Party or otherwise. Holder
understands that Holder is releasing and waiving certain potential
rights held by Holder and Holder’s Related Persons. Holder acknowledges
and agrees that the Release forms a material part of and is included
within all references to “Terms” used herein.
RIGHT OF PUBLICITY. Holder agrees that by
entering the Event, Holder and Related Persons shall be deemed to have
signed the Ticket and granted irrevocable permission to the Team, the
NFL, and their respective affiliates, sponsors, licensees, advertisers,
broadcasters, designees, partners, and agents the unrestricted,
royalty-free, irrevocable, non-exclusive, paid-up right and license to
(i) take photographs and make audiovisual recordings of the Event and
Holder in connection with Holder’s participation in the Event
(collectively “Materials”), and (ii) reproduce,
copy, publish, display, distribute, perform, translate, adapt, modify,
edit, create digitized images of, juxtapose, synchronize, broadcast,
stream, post, reuse, create derivative works of, and otherwise exploit
or use and permit to be used such Materials or any part thereof, whether
alone or in combination with other materials, in any and all markets and
in any and all media now known or hereafter devised in perpetuity
throughout the universe, without compensation, notice or right of prior
review or approval (to the extent permitted by law). In connection with
the foregoing, Holder consents and authorizes the Released Parties to
use or authorize the use of the name, image/likeness, photograph,
picture, voice, performance, and/or any other identification of Holder
for any and all purposes, including, but not limited to, advertising,
publicity, instructional or any other purposes in connection with the
Event or the goods, services, or other businesses of the Released
Parties, in any and all markets and in any and all media now known or
hereafter devised in perpetuity throughout the universe, without
compensation, notice or right of prior review or approval, and waives
all claims, potential claims, and/or all Liabilities relating to such
use unless prohibited by law. The Team and/or the NFL, as their
interests may appear, are the sole and exclusive owners of all rights in
any Materials, including copyrights, without limitation and free from
any encumbrances.
NO RECORDING OR TRANSMISSION BY HOLDER.
Holder agrees not to transmit, distribute, misappropriate, or sell (or
aid in transmitting, distributing, misappropriating, or selling), in any
media now or hereafter existing, any description, account (whether text,
data, or visual), picture, video, audio, or other recording or other
form of exploitation or reproduction of the Event or any portion
thereof.
DISPUTE RESOLUTION AND DAMAGES. Any dispute,
claim, or cause of action in any way related to the Terms, Ticket, or
the Event shall be resolved by mandatory, confidential, final, and
binding arbitration governed by the United States Federal Arbitration
Act in Washington, D.C. regardless of where Holder resides or from where
the Ticket with which Holder seeks admission was obtained. Holder and
Management agree that all disputes shall be arbitrated on an individual
basis. Holder understands, acknowledges, and agrees that Holder is
waiving holder’s right to a court or jury trial and any right to
litigate or arbitrate any claim as a class action, representative
action, or class arbitration. If Holder does not consent to this clause,
Holder must leave or not enter the Venue. To the fullest extent
permitted under applicable law, in no event shall Holder or any Related
Persons be entitled to any special, consequential, incidental, indirect,
or exemplary damages of any kind in connection with any dispute, claim,
cause of action or Liabilities arising out of the use of Ticket, the
Event, the Venue or these Terms.
GOVERNING LAW; SEVERABILITY. These Terms
shall be governed by, and construed and interpreted in accordance with,
the laws of the Commonwealth of Virginia, without regard to the conflict
of laws provisions thereof. If any portion of these Terms is determined
to be invalid, illegal, or unenforceable, it shall be deemed severed and
not affect the enforceability of any other provisions, which shall be
enforced as if the Terms did not contain the invalid, illegal, or
unenforceable provision.
As used herein:
“Related Persons” means Holder’s heirs,
assigns, executors, administrators, next of kin, anyone attending the
Event with Holder (including any accompanying minor or other persons
holding a separate Ticket and attending together with Holder which
persons Holder represents have authorized Holder to act on their behalf
for purposes of agreeing to the Terms), and other persons acting or
purporting to act on Holder’s or their behalf.
“Released Parties” means: (1) Pro-Football
LLC, WFI Stadium LLC, Washington Football LLC, Scoreboard HoldCo LLC,
Scoreboard HoldCo II LLC, NFL Ventures, Inc., NFL Ventures, L.P., NFL
and its member clubs, and each of their respective direct and indirect
affiliates, administrators, designees, licensees, media partners,
sponsors, agents, owners, officers, directors, employees, contractors
(and their employees), and other personnel; (2) the direct and indirect
owners, lessees, and sublessees of the Venue and related Venue grounds;
(3) all third parties performing services at the Venue; and (4) any
parents, subsidiaries, affiliated and related companies, and officers,
directors, owners, members, managers, partners, employers, employees,
agents, contractors, subcontractors, insurers, representatives,
successors, and/or assigns of each of the foregoing entities and
persons, whether past, present, or future and whether in their
institutional or personal capacities.
